Effective date: January 7, 2026. These Terms of Service ("Terms") govern your access to and use of the True North Payroll SaaS (the "Service"). By accessing or using the Service, you agree to these Terms.
You must be at least the age of majority in your jurisdiction and have authority to bind your organization. You are responsible for maintaining account credentials and for all activity under your account.
The Service provides payroll calculations, remittance tracking, and reporting tools for Canadian payroll compliance (excluding Quebec). The Service can generate paystubs and T4 files for download and upload to CRA services. The Service is not legal, tax, or accounting advice, and you are solely responsible for verifying outputs and compliance decisions and remitting payroll amounts to government agencies.
All payroll calculations are provided as a convenience tool only. True North Payroll makes no representation or warranty that calculated deductions, withholdings, or remittance amounts are accurate, complete, or compliant with applicable law. Tax rates, contribution limits, and CRA rules change frequently; it is your responsibility to verify that the Service reflects current rules before relying on any output. We are not responsible for any errors, omissions, under-remittances, over-remittances, penalties, interest, or charges assessed by the Canada Revenue Agency or any other government authority arising from your use of the Service.
Plans are billed in advance on a monthly basis. You authorize us to charge applicable fees to your selected payment method. All fees are non-refundable except where required by law.
You retain ownership of your data. We use your data to provide the Service and improve our offerings. We do not store Social Insurance Numbers (SINs). Please review the Privacy Policy for details on data handling.
You agree not to misuse the Service, including attempting to access other customers' data, reverse engineering, or interfering with system integrity or security.
Each party will protect the other party's confidential information and use it only for purposes of providing or using the Service.
We aim to maintain reliable availability but do not guarantee uninterrupted access. Support is provided according to your plan and published support channels.
The Service may integrate with third-party services (e.g., payment processors). Your use of third-party services is subject to their terms and policies.
You may cancel your subscription at any time. We may suspend or terminate access for violations of these Terms or to protect the Service and other customers.
The Service is provided "as is" and "as available" without warranties of any kind. We disclaim all implied warranties to the fullest extent permitted by law, including warranties of merchantability, fitness for a particular purpose, and accuracy. We do not warrant that the Service will be error-free, uninterrupted, or that payroll calculations will be correct, complete, or compliant with applicable legislation.
To the maximum extent permitted by law, our total aggregate liability to you for any claim arising out of or relating to the Service is limited to the fees paid by you during the 12 months immediately preceding the claim.
In no event will True North Payroll be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: CRA or government penalties, interest charges, fines, or assessments; loss of profits or revenue; loss of data; or costs of remediation — even if we have been advised of the possibility of such damages and regardless of the theory of liability.
You agree to indemnify, defend, and hold harmless True North Payroll and its officers, directors, employees, and agents from and against any claims, liabilities, damages, penalties, fines, interest charges, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your failure to verify payroll calculations or comply with applicable payroll legislation; (c) errors in information you provide to the Service; or (d) your failure to remit correct amounts to the CRA or any other government authority on time.
We may update these Terms. Material changes will be communicated. Continued use after changes become effective constitutes acceptance.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law rules.
